A tenant improvement, also called a leasehold improvement, a TI, or a build-out, is any modification made to a leased commercial space to prepare it for a tenant’s specific business needs. Tenant improvements can range from relatively simple cosmetic updates like new flooring and paint, all the way to full gut-and-rebuild build-outs that install new walls, HVAC systems, plumbing, electrical, ceilings, and data infrastructure inside an existing building.

The term “leasehold improvement” is used because these improvements are made to a property the tenant doesn’t own; they’re part of the lease arrangement, and what happens to them at the end of the lease depends on the terms negotiated in the contract.

What’s the difference between a tenant improvement and a build-out?

The terms are often used interchangeably, and in practice they describe the same type of work, modifying a leased commercial space to suit a tenant’s specific needs. “Build-out” tends to refer to larger, more comprehensive projects (particularly shell-to-finished-space work), while “tenant improvement” or “leasehold improvement” is used more broadly to cover the full range of modifications, from minor cosmetic updates to complete gut-and-rebuild projects.

Who owns the tenant improvements at the end of the lease?

Generally, permanent improvements that are attached to the building, walls, flooring, ceilings, plumbing, electrical, HVAC, become part of the property and belong to the building owner at lease expiration unless the lease contract specifies otherwise.

Some landlords include a restoration clause requiring the tenant to remove improvements and return the space to its original condition. Read your lease carefully before construction begins, and make sure your contractor understands what the landlord expects.

Do I need permits for tenant improvements in Northern Virginia?
